Terms of Service

These Terms of Service ("Terms") govern your access to Utterspace during our invite-only beta. By creating an account or using the service, you agree to these Terms and our Privacy Policy.
1. Invite-only beta
Utterspace is offered as a pre-release beta product to invited users. Features may change, break, or be withdrawn without notice. We may limit access, reset data, or end the beta at any time. The service is provided "as is" and "as available" without warranties of any kind, express or implied.
These Terms apply to beta use only. We will provide updated terms before any general availability launch.
2. Eligibility and accounts
You must be at least 18 years old and invited or approved by us to use the beta. You are responsible for your login credentials and all activity under your account. Provide accurate registration information and notify us promptly of unauthorized access.
3. Acceptable use
- Use Utterspace only for lawful real estate project management.
- Do not attempt to bypass subscription limits, access other users' data, scrape the service, or abuse AI features.
- Do not upload malware, unlawful content, or material you lack rights to share.
- Do not reverse engineer, overload, or interfere with the platform or its providers.
4. Subscriptions and billing
Paid plans are billed through Stripe according to pricing shown at checkout. Fees are non-refundable except where required by law. Trial periods, plan limits, and feature access described in the product apply to your account. We enforce limits in the application and at the database level.
If payment fails or your subscription lapses, your account may enter a read-only state until billing is restored.
5. Your content
You retain ownership of deal and project data you submit. You grant us a limited license to host, process, back up, and display that content solely to operate the service — including when you request AI-generated outputs.
You represent that you have the rights to upload and share content you provide, including documents and photos added to deals.
6. AI features disclaimer
AI-assisted features (including ARV estimates, job summaries, contractor assessments, message drafts, and exit analysis) produce automated outputs that may be inaccurate, incomplete, or outdated. AI outputs are not professional advice — not legal, financial, tax, construction, engineering, or investment advice.
You are solely responsible for verifying all AI outputs before making business decisions. AI features may be unavailable when third-party API keys are not configured; core project management features remain available without AI.
7. Confidentiality of beta
Unless we agree otherwise in writing, please do not publicly disclose non-public details about the beta (screenshots, pricing, unreleased features) without our permission. We welcome private feedback to help us improve.
8. Termination
You may stop using the service at any time. We may suspend or terminate beta access for violation of these Terms, non-payment, or operational reasons. Upon termination, your right to use the service ends; provisions that should survive (including disclaimers and liability limits) remain in effect.
9. Limitation of liability
To the maximum extent permitted by law, Utterspace and its operators are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business opportunities. Our total liability for any claim arising from the beta is limited to the fees you paid us in the twelve months before the claim, or $100 if you have not paid fees.
10. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless we agree to an alternative process in writing.
